SELLER'S AGREEMENT

Platform: IntraBuyer.com
Effective Date: 12th January, 2026

This Seller Agreement (“Agreement”) is entered into between:

IntraBuyer.com, operated by Dev chaudhary, having its principal place of business at [Address] (“Platform”, “IntraBuyer”, “We”, “Us”)

AND

The business entity registering as a seller on the Platform (“Seller”, “You”).

1. Purpose of Agreement

1. IntraBuyer operates a B2B online marketplace connecting buyers and sellers.

2. Seller desires to list and sell its products through the Platform.

3. This Agreement defines the rights, responsibilities, and obligations of both parties.

2. Seller Eligibility & Representations

Seller represents and warrants that:

1. It is a legally valid business entity.

2. It has authority to enter into this Agreement.

3. All information provided (GST, PAN, bank details) is accurate.

4. Products listed comply with all applicable Indian laws.

3. Appointment & Authorization

1. Seller appoints IntraBuyer as a non-exclusive intermediary to facilitate sales.

2. Seller expressly authorizes IntraBuyer to:

   • Collect payments from buyers on Seller’s behalf

   • Hold such payments temporarily

   • Deduct agreed commission, GST, TCS (if applicable)

   • Remit the balance to Seller as per settlement cycle

3. This authorization shall remain valid throughout the term of this Agreement.

4. Seller Responsibilities

Seller shall be solely responsible for:

1. Product quality, description, pricing, and legality

2. Packaging, dispatch, logistics, and delivery

3. After-sales service, warranty, and replacements

4. Compliance with GST, invoicing, and tax filings

5. Issuing GST-compliant invoice directly to the buyer

5. Pricing & Commission

1. Seller shall determine the final sale price.

2. IntraBuyer shall charge a commission (%) or fee as agreed separately.

3. Commission shall be deducted automatically from collected payments.

4. Commission once earned may be non-refundable, unless otherwise agreed.

6. Payment Settlement

1. IntraBuyer will settle seller dues after:

   • Successful order completion, or

   • Expiry of return window

2. Settlement timelines may vary and will be communicated separately.

3. IntraBuyer shall not be liable for banking or payment gateway delays.

7. GST, TCS & Tax Compliance

1. Seller acknowledges that:

   • Seller is the supplier of goods/services

   • IntraBuyer is an e-commerce operator

2. Seller authorizes IntraBuyer to:

   • Deduct TCS under Section 52 of CGST Act, if applicable

   • Deposit such TCS with the government

3. Seller shall be solely responsible for:

   • GST returns

   • Tax liabilities

   • Reconciliation of TCS credits

4. IntraBuyer shall issue a commission invoice to Seller.

8. Returns, Refunds & Cancellations

1. Seller shall define and honor its return and refund policy.

2. Seller authorizes IntraBuyer to:

   • Process refunds to buyers where approved

   • Recover refunded amounts from future settlements

3. Seller bears full responsibility for refund approvals or rejections.

9. Prohibited Products & Conduct

Seller shall not:

1. List illegal, counterfeit, restricted, or banned goods

2. Misrepresent product specifications

3. Engage in price manipulation or fraud

4. Bypass the Platform to avoid commission

Violation may result in immediate termination and legal action.

10. Intellectual Property

1. Seller grants IntraBuyer a non-exclusive, royalty-free license to use product images, descriptions, and trademarks for platform operations and marketing.

2. Seller confirms it owns or has rights to such content.

11. Indemnity

Seller agrees to indemnify and hold harmless IntraBuyer against:

• Product liability claims

• Tax penalties

• Consumer or buyer disputes

• Legal or regulatory actions arising from Seller’s conduct

12. Limitation of Liability

1. IntraBuyer shall not be liable for:

   • Seller product issues

   • Buyer misuse

   • Business losses

2. Maximum liability, if any, shall be limited to commission earned from Seller in the preceding 3 months.

13. Term & Termination

1. This Agreement shall continue until terminated.

2. IntraBuyer may terminate immediately for breach or illegal activity.

3. Seller may terminate with written notice, subject to settlement of dues.

4. Obligations related to taxes, indemnity, and disputes shall survive termination.

14. Confidentiality

Both parties shall keep business, pricing, and technical information confidential unless required by law.

15. Governing Law & Jurisdiction

1. This Agreement shall be governed by the laws of India.

2. Courts at Uttar Pradesh shall have exclusive jurisdiction.

16. Acceptance

By registering on the IntraBuyer platform, the Seller:

• Confirms having read and understood this Agreement

• Agrees to be legally bound by its terms.
